
We hereby report that on 3rd July 2008 the Prospectus for the issue of ordinary shares in the Company Dogi International Fabrics, S.A. for a total of 24,112,864 euros, through the issue of 30,141,080 new shares with a par value of 0.60 euros each plus a premium per share of 0.20 euros, giving a total issue price of 0.80 euros per share, was registered with the Official Registry of the National Securities Market Commission.
The purpose of the issue of shares in DOGI INTERNATIONAL FABRICS, S.A. is to cover the temporary financial needs required to carry out the Asian Optimization Plan, the funding needs of the Joint Venture in Sri Lanka during the 2008-2010 period, the last phase of the start-up of the new factory in El Masnou and to optimize the Group’s financial structure in a time of great uncertainty in the financial markets.
The corresponding notice of the issue is expected to be published in the Official Gazette of the Spanish Mercantile Registry (BORME) on 7th July 2008.
The shares included in this issue may be subscribed in 3 subscription periods: Preferential Subscription and Additional Applications Period, Additional Share Assignation Period and Discretional Assignation Period.
The Preferential Subscription and Additional Applications Period will commence on 8th July 2008 and will last 15 calendar days, ending on 22nd July 2008. This Period is aimed at current shareholders of the Company and/or holders of Debentures Convertible into Shares. Each share in Dogi entitles the holder to one preferential subscription right. Two rights will be necessary in order to subscribe one newly issued share. Holders of convertible Debentures may exercise the right to subscribe shares in proportion to the par value of the shares that would correspond to them if they exercised their right to convert them at the time of resolving on the capital increase. The conversion ratio is 3.0282 shares per debenture. During the Preferential Subscription requests for additional shares will be processed simultaneously.
